These Client Onboarding Terms outline the process, responsibilities, documentation requirements, and expectations when engaging services from Xink Digitals (“Service Provider”).

By confirming a project or making payment, the Client agrees to these onboarding terms.

Project Confirmation

A project is considered officially initiated when:

• The proposal is approved in writing (email/WhatsApp confirmation acceptable), and
• The agreed advance payment is received.

No work will begin without both approval and advance payment.

Required Information & Access

The Client must provide necessary materials within 3–5 business days of confirmation, including:

• Business details (legal name, address, GST if applicable)
• Brand guidelines (logo, fonts, color palette)
• Website, hosting, domain, or CMS access (if applicable)
• Social media account access (for marketing services)
• Advertising account access (Google Ads, Meta Ads, etc.)

Delays in providing access or materials may affect timelines.

Communication Process

• A primary point of contact must be designated by the Client.
• All approvals and revisions must be communicated in writing.
• Regular updates will be shared via email or agreed communication channel.

To avoid confusion, verbal instructions without written confirmation will not be considered final.

Timeline & Deliverables

• Estimated timelines will be shared in the proposal.
• Timelines begin only after all required inputs are received.
• Delays due to pending approvals or incomplete information will extend deadlines accordingly.

Revisions Policy

Unless otherwise agreed:

• Minor revisions: Included within scope
• Major changes beyond agreed scope: May incur additional charges
• Unlimited revisions are not included unless explicitly stated

Scope changes require written approval and may affect cost and timeline.

Payment Terms

• Advance payment is mandatory before project initiation
• Remaining balance payable as per milestone schedule
• Delayed payments beyond 7 days may pause work

Final deliverables will be released only after full payment clearance.

Third-Party Costs

Clients are responsible for:

• Domain registration fees
• Hosting charges
• Paid advertising budgets
• Premium plugins, tools, or software licenses

These costs are separate from service fees unless explicitly included.

Intellectual Property

• All intellectual property rights transfer to the Client only after full payment.
• Xink Digitals retains the right to showcase completed work in portfolio unless otherwise agreed in writing.

Confidentiality

All shared business data, credentials, and proprietary information will be treated as confidential and used solely for project execution.

Compliance & Ethical Use

The Client agrees that:

• Provided content does not violate copyright, trademark, or legal regulations
• Services will not be used for unlawful, misleading, or unethical activities

Xink Digitals reserves the right to refuse services violating legal or ethical standards.

Cancellation During Onboarding

If the Client cancels after onboarding has begun:

• Advance payments are non-refundable
• Work completed until cancellation must be paid for

Governing Law

These terms shall be governed by the laws of India. Jurisdiction shall remain Kolkata, West Bengal.
